Terms of Service
Last updated: October 2026 • Effective Date: October 17, 2026
Welcome to Datasheetly ("datasheetly.com", "we", "our", or "us"). These Terms of Service constitute a legally binding agreement between you ("User", "Purchaser", or "Licensee") and Datasheetly governing your access to and use of our website, digital spreadsheet workbooks (.xlsx), custom spreadsheet engineering services, and cloud modernization software.
- Digital Excel assets are delivered immediately upon confirmed payment with perpetual local ownership.
- Polar.sh operates as our authorized Merchant of Record (MoR) for global payments, sales tax, and VAT.
- Spreadsheet models are business calculation tools; they do not constitute formal CPA, tax, legal, or financial advice.
- Purchasers are responsible for downloading and backing up their files locally immediately after purchase.
1. Merchant of Record & Payment Processing
Our order fulfillment and commercial transactions are processed by Polar Software Inc. ("Polar.sh"), acting as the Merchant of Record (MoR). Polar handles payment gateway processing (credit/debit cards, Apple Pay, Google Pay), global sales tax collection, European Union VAT compliance, and invoicing. By placing an order, you agree to Polar's checkout terms and authorize payment for the indicated digital products or custom engineering milestones.
2. Nature of Digital Goods & Deliverables
Datasheetly offers verified, macro-free Microsoft Excel (.xlsx) workflow systems, blank master templates, and interactive calculators. Upon successful transaction confirmation, your purchased items are instantly unlocked in your User Vault for immediate, direct download.
3. Commercial License Grant & Permitted Use
Subject to these Terms and timely payment, Datasheetly grants you a perpetual, worldwide, non-exclusive, non-transferable license to open, customize, calculate, and utilize the spreadsheet files for internal commercial operations, corporate management, or personal financial modeling.
Strict Restrictions: You shall not resell, sub-license, redistribute, lease, bundle into third-party marketplace packages (such as on Etsy, Gumroad, or template repositories), or publicly share the raw, unpopulated Excel master templates. Agencies may deliver populated client reports pursuant to our Template License Agreement.
4. Custom Excel Engineering & Web App Modernization ($799 Tier)
For custom builds and cloud modernization orders initiated via our Custom Services:
- Free Scope & Demo Review: We provide a free scope analysis and preliminary demonstration before requiring payment commitment.
- Data Cleansing & Confidentiality: When you provide legacy spreadsheets or sample datasets for migration, Datasheetly treats your records with strict professional confidentiality under encrypted storage. We will never share or disclose your proprietary numbers.
- Acceptance & Deployment: Upon deployment of your custom web application or final .xlsx engineering release, you receive a 14-day defect warranty period to report formula discrepancies or logic bugs for immediate correction.
5. Buyer Backup Responsibility & Vault Hosting
Digital products purchased on Datasheetly are DRM-free and run natively on your computer without requiring continuous internet connectivity. The buyer bears the sole affirmative duty to download and retain local and private cloud backups of all purchased .xlsx files immediately following transaction completion. While Datasheetly strives to maintain perpetual uptime of your digital vault, we do not warrant indefinite cloud hosting and shall not be held liable for file recovery if you fail to download and store your purchased files.
6. Digital Goods Policy & 30-Day Defect Guarantee
Because digital assets, formulas, and spreadsheet logic are non-returnable once digital delivery has occurred, transactions are generally non-refundable upon file download. However, we provide an explicit 30-Day Calculation & Formula Defect Guarantee: if any purchased system exhibits a computational defect or compatibility bug on supported Excel versions that cannot be resolved within 48 hours, a full 100% refund will be granted promptly, as delineated in our Refund Policy.
7. Disclaimer of Certified Professional Advice
The spreadsheets, calculators, financial formulas, and models provided across Datasheetly are designed for organizational, estimation, and analytical purposes only. Datasheetly is not a certified public accounting (CPA) firm, registered investment advisor, tax consultancy, or legal counsel. Users are strongly advised to consult qualified certified accountants or licensed legal professionals before making binding commercial, tax, or investment commitments.
8. Trademark Notice
Microsoft Excel, Microsoft Office, and Microsoft 365 are registered trademarks of Microsoft Corporation. Datasheetly is an independent software publishing and spreadsheet engineering provider and is not affiliated with, sponsored by, or endorsed by Microsoft Corporation.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Datasheetly, its operators, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, commercial revenue, data corruption, or business interruption arising from the use or inability to use our spreadsheets or software. Our total aggregate liability for any claim shall not exceed the actual amount paid by you for the specific product or service giving rise to the claim.
10. Merchant of Record, Governing Law & Jurisdiction
Digital orders, billing, tax calculation (VAT/GST/Sales Tax), and payment processing on Datasheetly are fulfilled by our authorized Merchant of Record, Polar (Polar Payments Inc., Delaware, United States). Transactions processed via Polar are subject to Polar's Merchant of Record terms and applicable commercial regulations.
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware and applicable United States commercial law. The parties agree to resolve any issues in good faith through our priority Support Ticketing System or by emailing support@datasheetly.com before pursuing formal dispute mechanisms.
